Miles & Stockbridge, a Mid-Atlantic-based Am Law 200 firm, is seeking a skilled health care regulatory and transactional attorney to join its Corporate & Securities practice. We seek candidates with a minimum of 3 years of health law experience with a particular strength in transactional work, regulatory due diligence, and contracting, and will consider associates, counsel, or junior partners.
The candidate should be able to advise clients on a variety of legal issues related to health care, including regulatory compliance, fraud and abuse, contracts, and transactions. Support healthcare transactional matters, including drafting ancillary documents, conducting due diligence, advising on regulatory compliance matters, and preparing required notices and regulatory filings. Draft, review, and negotiate a diverse array of healthcare legal agreements, including employment and professional services agreements, vendor agreements, business associate agreements, joint venture agreements, and purchase and sale agreements. Conduct regulatory analyses involving federal and state healthcare laws, including Stark Law, Anti-Kickback Statute, Medicare/Medicaid billing and reimbursement, HIPAA, and other state and federal privacy laws. Draft organizational governance documents (e.g., Articles of Organization/Incorporation, Bylaws, LLC Operating Agreements, Shareholder Agreements).
Candidate must have a JD from an accredited law school and admission to the MD or DC bar; admission to the VA bar is a plus. Experience in healthcare law and general corporate practice. A strong understanding of federal and state healthcare laws and regulations, such as Stark Law, Anti-Kickback Statute, HIPAA, and Medicare/Medicaid rules and regulations. Experience with regulatory agencies and compliance issues. Strong negotiation and contract drafting skills, and demonstrates the ability to handle multiple deadlines and competing demands. Excellent interpersonal, writing, research, and oral communication skills. Strong academic credentials. A minimum of 3 years of health law experience with a particular strength in transactional work, regulatory due diligence, and contracting.

Base Compensation: $195,000 to $250,000.00 / year
